Most corporations doing business in Pennsylvania have an important deadline on the horizon to file their annual report with the state.
The Pennsylvania Department of State is requiring most corporations – including nonprofits – doing business in Pennsylvania to file an annual report detailing facts about the company structure by June 30. The report includes basic information such as the company’s name and address, but also requires the filer to identify at least one “governor/director/partner”, depending on the kind of business. A “governor” is “A person by or under whose authority the powers of an association are exercised and under whose direction the activities and affairs of the association are managed pursuant to the organic law and organic rules of the association…”. Reporting of principal officers is voluntary, but not required.
Other entities have their filing deadlines coming up later in 2025:

The Department directs all qualifying companies to file the report online at file.dos.pa.gov.
The annual report filing replaces the former decennial reporting which had been previously in effect, which called for companies to file their report every 10 years. If your company formerly filed the decennial report, it must now file the annual report.
