Richard S. Calabrese, Jr., Esq., CPA, LL.M.
Richard S. Calabrese, Jr., Esq., focuses his practice in tax, corporate and business law, and is also a Certified Public Accountant (CPA). Rick is experienced with business formations and developing various entity types and structures to help minimize adverse tax consequences, including specific knowledge of Pennsylvania realty transfer tax and real estate structuring methodologies. He also assists with small- to mid-sized mergers and acquisitions, specifically as it relates to corporate tax law and incentive agreements.
He further assists clients with Pennsylvania Board of Appeals/Board of Finance and Revenue petitions, Internal Revenue Service (IRS) penalty abatements, and correspondence relating to various tax controversy matters. Rick provides advice regarding corporate and partnership tax planning and applying and interpreting state and federal tax law. He also negotiates and resolves client tax matters with various tax authorities.
In his general business practice, he drafts operating agreements and shareholder (buy-sell) agreements with a focus on minimizing adverse tax consequences; and in his employee benefits and executive compensation practice, Rick is experienced with developing equity/profit incentive award agreements.
Rick is also well versed in cryptocurrency and non-fungible token (NFT) matters, including the tax implications of buying, selling and creating tokens, aiding in handling government inquiries, and general planning or conflict resolution surrounding blockchain certified assets.
Prior to joining Saxton & Stump, Rick was a tax and corporate business attorney for Fitzpatrick Lentz & Bubba in Allentown, PA and a tax associate at the “Big 4” firm, PricewaterhouseCoopers, LLP in Philadelphia before that. During his time at Villanova University, he helped resolved clients’ tax matters through work as a volunteer income tax preparer with the “VITA” program and also served at the Villanova federal tax clinic.
