Katherine Pandelidis Granbois, Esq.

Katherine Pandelidis Granbois, Esq. is a Shareholder and Chair of the firm’s Business and Corporate Law Group. With over 25 years of experience, her practice is concentrated in corporate and business law, including mergers and acquisitions, corporate finance, joint ventures, sales and distribution, entity selection and formation, and commercial matters for clients ranging from startups and professional practices to large family-owned businesses and middle market companies. Kathy’s practice also includes the formation and counseling of nonprofit entities and handling real estate acquisitions, sales, commercial leasing, and related matters.
Kathy also works in the firm’s Intellectual Property Group assisting with matters relating to IP licensing arrangements, new product development agreements, and SaaS licensing and subscription arrangements.
Formerly in-house with a Fortune 500 company, a significant amount of Kathy’s practice has involved providing external support for in-house legal departments and serving as general legal counsel for companies who do not have in-house counsel.
Kathy is active in the community, currently serving as Immediate Past Board Chair of the United Way of Lancaster County, President of the Lancaster chapter of Daughters of Penelope and on the Board of Directors of ASSETS Lancaster. She has also recently served as a mentor in the Lancaster Chamber of Commerce Women in Business mentoring program.

Negotiates critical commercial contracts, including private label, contract manufacturing, SaaS licensing, and exclusive supply arrangements
Drafts and negotiates the purchase and sale of businesses in a variety of industries, including manufacturing, distribution, telecommunication, healthcare and retail. Representative transactions include:
- $9 million sale of family owned franchise
- $2 million asset purchase of excavating business
- $2 million asset purchase of water treatment system business
- $15 million sale of family owned distribution business with multi-generational owners
- $20+ million sale of software company through purchase of common, Series A, and Series B shares
- $25+ million asset purchase of flooring manufacturer
Counsels start up and early stage entities through formation, governance and debt and equity financing
Counsels entity clients and owners regarding shareholder / membership / partnership agreements, withdraws and buy-outs
Develops form commercial documents for clients with national and international customer bases
Counsels clients regarding sales and distribution relationships and regulation, including regulation relating to franchise, distribution and sales representative relationships and pricing
Drafts and negotiates commercial leasing, sale and purchase agreements for property owners and management companies
Structures and negotiates joint venture agreements. Representative transactions include:
- $90 million manufacturing joint venture providing exclusive supply to joint venture partners
